DNP Targets Europe with €364 Million AUSTRIACARD Bid

Dai Nippon Printing (DNP), a leading Japanese technology and printing company, has announced a public takeover offer for AUSTRIACARD HOLDINGS AG, in a move set to significantly expand its global information security and identity solutions business. DNP will launch a tender offer for all ordinary shares of AUSTRIACARD at €10 per share (cum dividend), valuing the Austrian-headquartered company at c. €364 million (around JPY 67.7 billion).

DNP has entered into a memorandum of understanding with AUSTRIACARD outlining the strategic framework for the transaction. It has also secured an irrevocable undertaking from AUSTRIACARD’s largest shareholder, Nikolaos Lykos, covering c. 74.58% of the company’s issued share capital.

Founded in 1897, AUSTRIACARD operates across Europe, Africa and North America, specialising in smart payment cards, citizen identity solutions and variable security printing. The company manufactures and personalises c. 100 million payment cards annually for banks and fintech companies, primarily in Europe and the United States. It has also expanded its digital technology portfolio through solutions incorporating AI and related innovations.
